Terms of Business: EHR Advisory
1. The Services EHR Advisory (EHR) provides marketing and growth support through three primary models: Project-Based Fixes, Strategic Builds, and Monthly Advisory. The specific scope of work, deliverables, and timelines are outlined in the individual Proposal or Statement of Work agreed upon before commencement.
EHR provides a strategic advisory service focused on performance optimisation and commercial insight. EHR is responsible for the provision of professional advice; the ultimate responsibility for the implementation of said advice and all operational decisions remains with the Client.
2. Performance and Engagement
The Detective Phase: The effectiveness of EHR’s research and audits relies on the Client providing timely and authorised access to necessary data and platforms (e.g., Google Ads, Meta Business Suite, Squarespace).
Third-Party Platforms: EHR shall not be held liable for any loss, disruption, or account suspensions caused by the actions, outages, or policy changes of third-party platforms (e.g., Google, Meta, LinkedIn).
Guarantees: Due to external market factors and platform algorithms, specific revenue outcomes or lead volumes cannot be guaranteed. EHR will use all reasonable skill and care to optimise for the best possible results.
3. Project-Based Terms (Fixes & Builds) For one-off projects or technical setups, the engagement begins on the date of the first payment and concludes upon delivery of the agreed scope. Any additional work requested outside this scope will be treated as a new project and quoted separately.
4. Advisory Terms (Monthly Retainers)
Rolling Term: Ongoing advisory services operate on a rolling basis as specified in the individual agreement.
Termination: Either party may terminate the engagement by providing 30 days’ written notice via email.
Final Period: Services will continue as normal during the notice period, and one final monthly payment will be due.
Handover: A reasonable handover of accounts and work completed will be provided only upon the full settlement of all outstanding invoices.
5. Fees and Payment
Fees are outlined in the individual Proposal or Invoice.
Retainer fees are payable monthly in advance.
EHR reserves the right to pause all services, including the management of live advertising campaigns, if invoices remain unpaid beyond their due date.
6. Advertising Spend Advertising budgets for third-party platforms are paid by the Client directly to the platform. Where EHR agrees to cover spend on the Client’s behalf, this will be recharged at cost and must be settled within 7 days. These costs are not treated as EHR income.
7. Intellectual Property & Confidentiality
Intellectual Property: Upon full payment of all fees, the Client is granted a perpetual licence to use all materials, copy, and strategies created during the engagement for their own business. EHR retains ownership of all pre-existing tools, audit frameworks, and methodologies.
Confidentiality: Both parties agree to keep all non-public business information, data, and commercial insights shared during the engagement strictly confidential.
8. Liability To the extent permitted by law, EHR’s total liability for any claim shall be limited to the fees paid in the one month preceding the claim. EHR shall not be liable for indirect or consequential losses.
9. Acceptance of Terms Payment of the first invoice, or written confirmation to proceed with a Proposal, constitutes full acceptance of these Terms of Business.
